Terms & Conditions
Last updated: 15 March 2025
These Terms and Conditions govern the use of the Thep Advisors website and form part of the basis on which advisory services are provided. By using this website or engaging our services, you agree to these terms. If you have questions, please contact us at [email protected].
1. About Thep Advisors
Thep Advisors is a supply chain consulting practice based in Bangkok, Thailand. We provide advisory services to manufacturers, distributors, and trading firms operating in Thailand and the wider Southeast Asian region. Our registered address is 48/6 Ari Samphan Alley, Samsen Nai, Phaya Thai, Bangkok 10400.
2. Use of this website
This website is provided for informational purposes. You may use it to learn about our services, read about our approach, and submit an enquiry via the contact form. You agree not to use the website in any way that is unlawful, harmful, or disruptive to other users or to our systems.
We do not warrant that the website will be available at all times, free of errors, or that the content is complete or current. We may update, amend, or remove content at any time without notice.
3. Intellectual property
The content on this website — including text, structure, and design elements — is the property of Thep Advisors or is used with permission. You may not reproduce, distribute, or adapt it for commercial purposes without our prior written consent.
Written deliverables produced during an engagement — memoranda, recommendation documents, written summaries — are shared with the client for their internal use. Unless separately agreed, intellectual property in engagement deliverables remains with Thep Advisors, and clients are granted a non-exclusive licence for their own internal use.
4. Advisory services
Scope of advice
Advice provided by Thep Advisors is based on information available at the time of the engagement and on professional judgement. Supply chain conditions and market environments change. We do not warrant that observations or recommendations will remain accurate after the close of an engagement.
Independence
Thep Advisors does not hold commercial relationships with suppliers or logistics providers that would give rise to a conflict of interest in the advice we provide. We do not accept placement fees or referral commissions from third parties in connection with our advisory engagements.
Not legal or financial advice
Our advisory work covers supply chain structure, sourcing, and logistics. It does not constitute legal advice, tax advice, financial advice, or regulatory compliance guidance. For matters in those areas, we recommend consulting qualified professionals.
5. Engagement terms
Each engagement is governed by a separate engagement letter or service agreement, which sets out scope, deliverables, timeline, and fee. In the event of any conflict between these Terms and Conditions and an engagement letter, the engagement letter takes precedence in relation to that engagement.
Fees and payment
Fees are stated in Thai Baht (THB) unless otherwise agreed. Payment terms are set out in the engagement letter. We reserve the right to pause or discontinue work if payments are materially overdue, after reasonable notice.
Cancellation
Either party may terminate an engagement by providing written notice. Where work has commenced, fees may be due for the work completed to the date of termination, as specified in the engagement letter.
6. Confidentiality
We treat client information as confidential. We do not disclose client information to third parties except where required by law or where disclosure is necessary to complete engagement work (for example, where a supplier conversation requires some context about the client's category).
We ask that clients treat information we share about our methods, relationships, and team as confidential and not disclose it without our agreement.
7. Limitation of liability
To the extent permitted by Thai law, Thep Advisors' liability in connection with any engagement or use of this website is limited to the fees paid for the relevant engagement in the twelve months preceding the claim. We are not liable for indirect, consequential, or incidental losses arising from reliance on our advice or from use of this website.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
8. Third-party links
This website may link to third-party websites for reference purposes. We do not endorse, control, or take responsibility for the content of those sites. Visiting linked sites is at your own discretion.
9. Privacy and cookies
Use of this website is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
10. Governing law
These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising in connection with these terms or with our services shall be subject to the jurisdiction of the Thai courts.
11. Changes to these terms
We may update these Terms and Conditions from time to time. The current version will be published on this page with an updated date. Continued use of the website after changes are published constitutes acceptance of the updated terms.
